Research Use Only Disclaimer  

All products sold by Age|REcode LLC are intended exclusively for laboratory research purposes and are not for human or animal consumption, medical, diagnostic, therapeutic, or commercial use.

By purchasing from us, you represent and warrant that:

• You will not use, nor permit others to use, our products for any prohibited purpose, including but not limited to ingestion, injection, implantation, inhalation, topical application, or any other direct human or animal exposure.
• You are a qualified researcher or acting on behalf of a licensed research institution.
• You will use the products solely for lawful, in-vitro research purposes.

No Medical or Therapeutic Claims  

Our products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) for any medical or therapeutic use. We make no claims regarding the diagnosis, cure, mitigation, treatment, or prevention of any disease.

Product Quality and Assumption of Risk  

All products are sold as-is, without any express or implied warranties, including but not limited to warranties of merchantability or fitness for a particular purpose. Unless explicitly stated, products are not sterile.

Restricted Resale  

You are strictly prohibited from reselling, redistributing, relabeling, repackaging, or incorporating any products purchased from Age|REcode LLC into other goods or services without our express prior written consent.

This restriction does not apply to authorized wholesale partners operating under a current, signed Wholesale Agreement with Age|REcode LLC. Wholesale resale rights, relabeling conditions, and packaging standards are governed separately by that agreement.

Any unauthorized resale or redistribution of our products constitutes a material breach of these Terms and may result in:

• Immediate termination of account access,
• Legal action, including injunctive relief,
• Claims for damages,
• Recovery of all associated legal costs.

Age|REcode LLC expressly disclaims any and all liability for the use, handling, marketing, or redistribution of its products once they have left our control. You agree to indemnify and hold harmless Age|REcode LLC from all third-party claims arising from such unauthorized activities.

Limitations Of Use  

You may freely browse and download materials from the Site. Downloadable materials are provided for your personal, non-commercial use. You are prohibited, however, from distributing, modifying, transmitting, reusing, reposting or using any of these materials for public or commercial purposes without the express written permission of Age|REcode. Elements of the web site are protected by trademark, trade dress and other laws and may not be copied or imitated in whole or in part. No logo, graphic, sound or image from the web site may be copied, distributed, modified, transmitted, reused, reposted or used for any public or commercial purpose unless expressly permitted by Age|REcode. Account Registration and Verification  

Access to ordering functions is limited to verified research entities (e.g., laboratories, universities, CROs, distributors). We do not sell to patients or the general public. We may require documentation to verify institutional status (e.g., business credentials, tax/license documentation, shipping eligibility). We may approve, decline, suspend, or terminate accounts at our discretion.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.

Orders and Purchases  

When you place an order, you are making an offer to purchase. Age|REcode reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until Age|REcode confirms acceptance. We must receive and process your payment before your order is accepted. In the event that we do not accept, make a change to, or cancel an order, we will attempt to notify you by contacting the e‑mail, billing address, and/or phone number provided at the time the order was made.

All prices are stated in U.S. Dollars and are subject to change without notice. You agree to pay all charges incurred by you or on your behalf through the Site, including applicable taxes and shipping fees. Payment must be made by accepted payment methods at the time of purchase. We reserve the right to refuse or limit payment methods.

You are responsible for all sales, use, excise, value-added, and other taxes and duties assessed on your purchase, excluding taxes based on our net income. If we are required to collect or pay taxes for which you are responsible, you will be invoiced and must pay such amounts.

To prevent fraud and ensure compliance with applicable laws, we reserve the right to verify the identity of any purchaser and the validity of payment methods used. By submitting payment, you authorize us to charge the payment method provided for the full amount of your order, including all applicable taxes, shipping fees, and other charges. All sales are final upon payment authorization. You represent and warrant that you have the legal right to use the payment method provided and that all payment information you provide is true, accurate, and complete.

PROHIBITED CHARGEBACKS: You expressly agree that you will NOT initiate a chargeback, payment dispute, reversal, or claim with your bank, credit card company, payment processor, or financial institution (collectively, “Payment Dispute”) without first attempting to resolve the matter directly with us through our customer service department at hello@agerecode.com.

Shipping and Delivery  

Products are shipped FOB origin (Free on Board shipping point), meaning that title and risk of loss pass to you upon our delivery to the carrier. We are not responsible for delays, damage, or loss occurring during shipment. All shipping times are estimates and are not guaranteed.

We ONLY ship to addresses within the United States and its territories. We do not accept international orders or ship to freight forwarders, mail forwarding services, or package consolidation services. Orders with international shipping addresses will be cancelled and refunded, less any processing fees.

Products may be shipped to verified addresses within the United States. We reserve the right to require additional verification for any shipping address and may refuse shipment to addresses we cannot verify or that present delivery concerns. Signature confirmation may be required for delivery at our discretion.

YOU ARE STRICTLY PROHIBITED FROM EXPORTING, RE-EXPORTING, OR TRANSFERRING ANY PRODUCTS OUTSIDE THE UNITED STATES. Certain products may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR). Any attempt to export products in violation of U.S. export control laws constitutes a material breach of these Terms and may result in criminal prosecution under federal law. You agree that you will not export, re-export, divert, or transfer any products to any destination outside the United States, regardless of the intended end use.

Returns, Refunds and Cancellations  

Due to the nature of research chemicals and regulatory requirements, ALL SALES ARE FINAL, except as required by applicable law. We do not accept returns, exchanges, or provide refunds except as expressly provided in this Section 7 or as required by law.

If a shipment arrives damaged, you must (i) refuse delivery if damage is apparent, or (ii) promptly file a claim with the carrier if damage is discovered after delivery. Preserve all packaging and contents until the carrier completes its inspection. Upon request, we will provide reasonable documentation to support your carrier claim (e.g., commercial invoice, shipment details), but we are not responsible for the outcome of any carrier claim.  

All Products are inspected and sealed prior to shipment. If you believe a sealed Product as received exhibits a material manufacturing defect not caused by transit, you must notify us at hello@agerecode.com within seventy-two (72) hours of delivery and include clear, unaltered photographic and/or video evidence of the claimed defect and the intact tamper-evident seal. We may request additional verification (including timestamped photographs, unedited video, batch/lot labels, or a live video inspection). We do not accept returns. If we confirm a material manufacturing defect, your exclusive remedy, at our sole discretion, is either (a) replacement of the same Product (subject to availability) or (b) refund of the purchase price for the affected units. Any replacement ships under the same Shipping Terms. You expressly warrant that all evidence submitted is authentic, unaltered, and accurately depicts the Product as received. The use of artificial intelligence tools, photo/video editing, or other manipulation to fabricate, alter, enhance, or misrepresent any claim constitutes fraud and a material breach of these Terms. 

ORDER CANCELLATION: Orders may be cancelled up to two (2) hours after placement, OR before a tracking number has been generated, whichever occurs first. To request cancellation, contact us immediately at hello@agerecode.com  with your order number and cancellation request. Once a tracking number has been generated, the order has entered the fulfillment process and can no longer be cancelled. If your cancellation request is approved, we will process a full refund to your original payment method within five (5) to seven (7) business days.

Orders in Transit: Once an order has shipped and is in carrier possession, it cannot be cancelled, recalled, or redirected. Title and risk of loss transfer to you upon delivery to the carrier as described in our Shipping Policy. You remain responsible for payment even if you refuse delivery or fail to accept the package.

Optional Tools  

You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control nor input.
You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Any use by you of the optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new features through the Services (including the release of new tools and resources). Such new features shall also be deemed part of the Services and are subject to these Terms of Service.

Age|REcode has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval, or control by Age|REcode of the site. Use of any such linked site is at your own risk and we strongly advise you make your own investigations with respect to the suitability of those sites.

Relationship with WooCommerce  

Age|REcode is powered by WooCommerce, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Age|REcode. By using the Services, you acknowledge and agree that WooCommerce is not responsible for any aspect of any sales between you and Age|REcode, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release WooCommerce and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Age|REcode.

Compliance with Laws  

Use of this Site is governed by all applicable federal, state and local laws. All information available on this Site is subject to U.S. export control laws and may also be subject to the laws of the country in which you reside. Age|REcode makes no representation that the content of this Site is appropriate or available for use in other locations. If you use this Site from other location, you are responsible for compliance with applicable local laws including, but not limited to, the export and import regulations of other countries.

Errors, Inaccuracies and Omissions  

Occasionally there may be information on or in the Services that contain typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice (including after you have submitted your order).

This Agreement and its performance shall be governed by the laws of the state of Florida, United States of America, without regard to its or any jurisdiction’s conflict of laws provisions. Should the arbitration provision below be found to be inapplicable or unenforceable, you consent and submit to the exclusive jurisdiction of the state and federal courts located in the County of Hillsborough, state of Florida, United States of America, in all questions and controversies arising out of your use of the Website and this Agreement. To the extent allowed by applicable law, any claim or cause of action arising from or relating to your access to or use of the Website must be brought within two (2) years from the date on which such claim or action arose or accrued. Arbitration and Class Action Waiver  

YOU ACKNOWLEDGE THAT YOU AND WE AGREE THAT NO CLASS ACTION, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER PROCEEDING WHERE SOMEONE ACTS IN A REPRESENTATIVE CAPACITY, MAY BE PURSUED IN ANY ARBITRATION OR IN ANY COURT PROCEEDING, REGARDLESS OF WHEN THE CLAIM OR CAUSE OF ACTION AROSE… YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING, OR AS A PRIVATE ATTORNEY GENERAL, OR ON BEHALF OF THE GENERAL PUBLIC.

Severability and Waiver  

If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect.

No waiver by us of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Force Majeure  

Neither party will be liable for inadequate performance to the extent caused by a condition (for example, natural disaster, act of war or terrorism, riot, labor condition, governmental action, and Internet disturbance) that was beyond the party’s reasonable control. Age|REcode shall not be responsible for lost shipments, shipping delays, supply chain disruptions, custom order delays, lost or stolen mail, delays due to backorders, beyond its control, or any other reason stated above.

Assignment  

You may not assign or transfer these Terms or your rights and obligations hereunder, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

Termination  

We may suspend or terminate access to the Site or Services at any time, with or without cause. Provisions that by their nature should survive termination (e.g., IP, disclaimers, limitations, indemnification, governing law) shall survive.

Entire Agreement  

These Terms, together with the Privacy Policy, Shipping and Distribution Policy, and Returns and Refunds Policy, constitute the entire agreement between you and Age|REcode and supersede any prior agreements relating to the Site or products.
